Terms of Sale

Welcome to our Terms of Sale. By purchasing services from our company, you agree to the following Terms and Conditions:

1. Pricing and Currency

All prices for services can be displayed in different currencies and are subject to applicable taxes where required. No additional charges or fees (e.g., currency conversion fees) should be borne by the customer unless clearly stated otherwise. All pricing information will be clearly indicated during the purchase process.

2. VAT Information for International Clients
   
   

Non-EU Clients (United Kingdom, United States of America, Australia, etc)

• For VAT-Registered Clients & companies:
  If you are VAT-registered outside the EU (e.g., in the UK, Australia, or the US), the services provided are considered exports and are exempt from Polish VAT. No VAT will be charged on the invoice, and you are responsible for adhering to the local tax laws in your country.
  Invoice Note:
  “Reverse charge.” and you will see the VAT amount on the invoice as: “n/a”.
• For Non-VAT-Registered Clients & companies:
  If you are not VAT-registered company located outside the EU, no VAT will be charged. The services provided are treated as exports and fall outside the scope of Polish VAT, and you might be responsible for adhering to the local tax laws in your country.
  Invoice Note:
  “Reverse charge.” and you will see the VAT amount on the invoice as: “n/a”.
• For Private Individuals:
  If you are a private individual, Polish VAT will be applied to the invoice at the standard rate of 23%. You will see this charge clearly listed on your invoice.

EU Clients (Ireland, Germany, France, etc)

• For VAT-Registered Clients:
  If you are VAT-registered within the European Union, the Reverse Charge mechanism applies. This shifts the responsibility for paying VAT to you, the client, in accordance with Article 196 of Council Directive 2006/112/EC. As a result, VAT will not be charged on our invoices. You will be required to self-account for the VAT in your country of registration.
  Invoice Note:
  “Reverse charge” and you will see the VAT amount on the invoice as: “n/a”.
• For Non-VAT-Registered Clients:
  If you are not VAT-registered within the EU, Polish VAT will be applied to the invoice at the standard rate of 23%. You will see this charge clearly listed on your invoice.

3. Payment Terms

Payments must be made in full before services commence, unless otherwise agreed upon in writing. Accepted payment methods include credit card, bank transfer, and other specified payment gateways. All payments are final, and failure to make payments may result in the cancellation of the service or delayed delivery.

4. Additional Costs That Are Not Included

Please note that the following costs are not included in the service fees for website development or other digital services and must be covered separately by the customer:

• Website hosting fees
• Domain registration and renewal fees
• Advertising spend (e.g., Google Ads, Facebook Ads)
• Licensing fees for third-party images, stock photography, or other media
• Other third-party services or subscriptions required for the operation of the website or service as per your request.

These expenses will be billed directly to you or paid by you through your chosen vendors. Our company will not be responsible for these costs unless otherwise agreed in writing.

5. Cancellation and Refund Policy

Cancellation can usually be done with a one-month cancellation period. Refunds will be issued on a case-by-case basis, subject to review. Once services have commenced or digital products have been delivered, refunds may not be available.

6. Intellectual Property

All intellectual property rights related to the websites, software, or digital content we create remain the property of Bielecki Consulting, unless otherwise agreed in the contract. Clients are granted a limited, non-transferable license to use the product upon full payment of services.

7. Satisfaction Guarantee

If the contract specifies that we are providing a Satisfaction Guarantee based on the website design, we commit to delivering a website that meets the agreed-upon design specifications. Should you not be satisfied with the final design, we will work with you to revise it based on your feedback until you are satisfied, within the limits set forth in the contract (e.g., number of revision rounds or time frame).

However, this guarantee applies solely to the design of the website and not to functionality, third-party services, or business outcomes (such as traffic, conversions, leads, or sales). If we cannot meet the agreed-upon design after multiple revisions, you may be entitled to a partial or full refund, subject to the terms of the contract.

8. Liability

We do not accept liability for any direct, indirect, or consequential losses arising from the use of our services, except in cases where such liability is mandatory under applicable law.

9. Governing Law

These Terms of Sale are governed by Polish law, and any disputes arising out of or in connection with these terms will be subject to the exclusive jurisdiction of the Polish courts.
